At the meeting held on November 29, 2005, the Board of Directors of Nihon Dempa Kogyo Co., Ltd. resolved that the location of our Head Office and Registered Location be changed as shown below.

In connection with the change of location of our Registered Office, we do not need to change our Articles of Association because the change of location is within the same area (Shibuya-ku).

1. Reason for the change of Registered Location

The functions of our Head Office at Nishi-Shinjuku, Shinjuku-ku and the sales functions of our Registered Office at Nishihara, Shibuya-ku have been integrated into the same office at the Sasazuka NA building, Sasazuka, Shibuya-ku. As a result of the move, the location of our registered place of business will change.
